Introduction
Welcome to NÍGHTE. These Terms and Conditions (“Terms”) govern your access to and use of the NÍGHTE website (the “Site”), and any purchase you make through it. By accessing the Site or placing an order with us, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
About NÍGHTE
NÍGHTE is a fragrance brand offering reed diffusers and related home fragrance products. NÍGHTE is owned and operated by WBSQ Holdings (“WBSQ Holdings”, “we”, “us”, or “our”). References to “NÍGHTE” in these Terms refer to WBSQ Holdings trading as NÍGHTE.
Eligibility and Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
• use the Site in any way that breaches applicable law or regulation;
• attempt to gain unauthorized access to the Site, its systems, or related networks;
• scrape, copy, or reproduce content from the Site without our prior written consent;
• interfere with or disrupt the security, integrity, or proper functioning of the Site.
Products, Business Accounts and Orders
NÍGHTE products are available for retail purchase and, where indicated, for wholesale or business (“B2B”) enquiry. Product descriptions, imagery, and fragrance notes are provided as a guide only; actual scent experience may vary between individuals and environments. We reserve the right to limit order quantities, refuse or cancel an order, or discontinue any product at our discretion. Wholesale and business account terms, including pricing and minimum order quantities, may be subject to a separate written agreement between NÍGHTE and the business customer.
Pricing and Payment
The Site does not display pricing for our products. To receive a quotation, please submit an enquiry through the Site or contact us directly using the details in Section 18 below. Any quotation we provide is valid only for the period stated in that quotation and remains subject to our acceptance and confirmation of your order. Payment terms will be set out separately at the time an order is confirmed.
Shipping and Delivery
Delivery timeframes provided at checkout or in order communications are estimates only and are not guaranteed. NÍGHTE is not responsible for delays caused by couriers, customs authorities, or other circumstances outside our reasonable control.
Privacy and Personal Data
This clause, and the Privacy Policy referred to within it, are intended to comply with the Personal Data Protection Act 2012 of Singapore (“PDPA”). After this first mention, these Terms may refer to it as the “PDPA”. Our collection, use, and disclosure of your personal data when you access the Site or place an order is carried out in accordance with the PDPA, and is further described in our Privacy Policy, which forms part of and is incorporated into these Terms.
Returns, Refunds and Exchanges
Returns, exchanges, and refunds are governed by our separate Return Policy, published on the Site, which forms part of and is incorporated into these Terms.
Intellectual Property
All content on the Site — including the NÍGHTE name and logo, product photography, packaging design, and written content — is the property of WBSQ Holdings or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, branding, or content without our prior written consent.
User Content
If you submit reviews, comments, or other content to us (for example, by email or social media), you grant NÍGHTE a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display that content for marketing and operational purposes. You are solely responsible for any content you submit and confirm that it does not infringe the rights of any third party.
Third-Party Links
The Site may contain links to third-party websites for your convenience. We do not control and are not responsible for the content, accuracy, or practices of any linked third-party site, and a link does not imply our endorsement of it.
Product Safety and Use
For external use only. Avoid direct contact with skin and eyes. Keep away from children and pets. Use in a well-ventilated area. Discontinue use if irritation occurs.
Some individuals may be sensitive or allergic to fragrance ingredients and may experience irritation or an allergic reaction from using a fragrance diffuser, even when the product is used as intended. You are responsible for reviewing the product and its ingredients before use and for following the usage guidance above. To the fullest extent permitted by law, NÍGHTE and WBSQ Holdings are not liable for any allergic reaction, irritation, injury, or other harm arising from your use, or misuse, of our products, except to the extent such liability cannot be excluded under applicable law.
Disclaimer
The Site and our products are provided on an “as is” and “as available” basis. While we take care in describing our products, we do not warrant that the Site will be uninterrupted, error-free, or entirely secure. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site and its content.
Limitation of Liability
To the fullest extent permitted by applicable law, WBSQ Holdings and NÍGHTE shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or our products. Our total liability to you for any claim arising from these Terms or your purchase shall not exceed the amount you paid for the relevant product.
Indemnity
You agree to indemnify and hold harmless NÍGHTE, WBSQ Holdings, and our respective officers, employees, and agents from any claims, losses, or damages arising from your breach of these Terms or misuse of the Site.
Termination
We may suspend or terminate your access to the Site at our discretion, including where we reasonably believe you have breached these Terms, engaged in fraudulent activity, or posed a security risk to the Site or other users.
Governing Law
These Terms are governed by the laws of Singapore, and any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on the Site with a revised effective date. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.
